1. Agreement to these terms
By accessing our website or engaging our services, you agree to these Terms of Service ("Terms"). If you are entering into an agreement on behalf of a company, you represent that you have authority to bind that organisation. If you do not agree, do not use our website or services.
2. Our services
One Touch Initiatives provides outdoor media, campaign planning, creative production, and related marketing services in Ghana. Specific scope, deliverables, timelines, fees, and media placements are set out in written proposals, insertion orders, or contracts agreed between you and us ("Project Agreement"). Where a Project Agreement conflicts with these Terms, the Project Agreement prevails for that project.
3. Client responsibilities
When working with us, you agree to:
- Provide accurate briefs, approvals, and brand assets in agreed formats and timeframes
- Ensure you have rights to any materials you supply (logos, images, copy, music, etc.)
- Review and approve proofs and placements before production or go-live where required
- Pay invoices according to agreed payment terms
- Comply with applicable advertising, consumer-protection, and sector regulations for your industry
4. Quotes, bookings, and cancellations
Quotes are valid for the period stated on the proposal. Media space, production slots, and third-party costs may be subject to availability and price changes until formally booked. Cancellation or rescheduling terms (including any fees owed to site owners or suppliers) will be specified in your Project Agreement.
5. Intellectual property
Unless otherwise agreed in writing, we retain ownership of our pre-existing materials, methodologies, and tools. Upon full payment, you receive the usage rights specified in your Project Agreement for deliverables created specifically for you. We may display completed work in our portfolio and marketing unless you object in writing before delivery.
All website content—including text, images, logos, and design—is owned by One Touch Initiatives or its licensors. You may not copy, modify, or redistribute it without our prior written consent.
6. Acceptable use of the website
You agree not to:
- Use the site for unlawful, misleading, or harmful purposes
- Attempt unauthorised access to our systems, accounts, or data
- Introduce malware, scrape content at scale, or interfere with site operation
- Impersonate One Touch Initiatives or misrepresent your affiliation with us
7. Disclaimers
Our website and general marketing materials are provided for information only. We do not guarantee specific campaign results, audience reach, or uninterrupted website access. Outdoor media may be affected by weather, permits, site conditions, or third-party actions beyond our control.
8. Limitation of liability
To the fullest extent permitted by Ghanaian law, One Touch Initiatives shall not be liable for indirect, incidental, special, or consequential damages, or for loss of profit, revenue, or data, arising from use of the website or our services. Our total liability for any claim relating to a specific project shall not exceed the fees paid by you for that project in the twelve (12) months preceding the claim, except where liability cannot be limited by law.
9. Indemnity
You agree to indemnify and hold us harmless against claims, losses, and expenses arising from materials you supply, your breach of these Terms or a Project Agreement, or your violation of third-party rights or applicable law, except to the extent caused by our gross negligence or wilful misconduct.
10. Governing law
These Terms are governed by the laws of the Republic of Ghana. Disputes shall first be addressed through good-faith negotiation. If unresolved, disputes may be submitted to the competent courts of Ghana, unless otherwise agreed in a Project Agreement.
11. Changes
We may update these Terms from time to time. The "Last updated" date reflects the current version. Continued use of the website after changes constitutes acceptance where permitted by law. Active projects remain subject to the Terms in effect at the time of the relevant Project Agreement unless otherwise agreed.
